OMV’s Annual General Meeting has resolved on a total dividend of EUR 4.40 per share for the financial year 2025, of which EUR 3.15 per share represents the regular dividend and EUR 1.25 per share the additional dividend. The payment date is June 11, 2026. Furthermore, all other agenda items, including elections to the Supervisory Board, the Remuneration Report for the Executive Board and the Supervisory Board for 2025, the new Remuneration Policy for the Executive Board, and amendments of the Articles of Association were resolved upon.

Aditionally, the annual financial statements as approved by the Supervisory Board were presented. The Executive Board members and the Supervisory Board members were discharged for their activities in the financial year 2025. KPMG Austria GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, Wien, was elected as auditor, Group auditor and the auditor of the consolidated sustainability reporting for the financial year 2026.

Due to the expiry of the mandates of two Supervisory Board members and vacancies resulting from resignations of   two Supervisory Board members, all with effect from the end of the General Meeting held on May 27, 2026, four Supervisory Board members were (re-)elected by the General Meeting:

  • Ms. Edith Hlawati (re-elected)
  • Mr. Patrick Lammers (re-elected)
  • Mr. Andreas Klauser (elected for the first time)
  • Mr. Ahmed El-Hoshy (elected for the first time) 

The General Meeting has adopted the new Remuneration Policy for the Executive Board, which further strengthens the link between remuneration and performance and ensures strategic alignment and transparency in line with shareholder expectations, while simplifying the Remuneration Policy overall.

In addition, amendments to the Articles of Association were resolved.
